Terms of Service
Effective September 7, 2026 · Last updated October 2, 2026
These terms cover the website at zulvan.com and the services provided by VC2 AI LLC, an Ohio limited liability company doing business as Zulvan (“we,” “us”). “You” means the business that engages us.
A written proposal or order controls. Nothing on this website is an offer to contract, and browsing it does not create an agreement. Work begins only under a written proposal, order, or statement of work that we both accept. Where that document conflicts with these terms, that document wins for the work it covers.
1. What we do
Zulvan builds automations for small businesses. A typical engagement is a fixed-scope build: we take one repetitive task, automate it, hand it back running, and document how it works. Some engagements add an ongoing maintenance plan. The specific deliverables, price, and timeline live in your accepted proposal.
2. The build
- Scope is what is written. Anything not listed in the accepted proposal is out of scope and is quoted separately.
- Acceptance. When we deliver, you have 10 business days to test it and tell us in writing what does not match the agreed scope. We fix in-scope defects at no charge. After 10 business days without written notice, the build is accepted.
- Your part. Builds depend on you providing timely access, credentials, sample data, and decisions. Delays on your side move the timeline.
- Setup fees are earned when the work is delivered and are not refundable once a build has been delivered and accepted.
3. Maintenance plans
If your proposal includes a monthly plan, it covers keeping the delivered build running: monitoring, fixing breakage, and small adjustments.
- A monthly plan includes up to three adjustments per month. Adjustments do not roll over.
- A monthly plan does not buy new features. New functionality, new integrations, or a change in what the automation is for is a new build, quoted separately.
- Plans bill monthly in advance and continue until either of us cancels with 30 days’ written notice. There is no long-term commitment and no automatic annual lock-in.
- If a third-party tool the build depends on changes, breaks, is discontinued, or raises its price, the work to adapt to that change may fall outside the plan. We will tell you before doing chargeable work.
4. Fees and payment
Invoices are due net 30 unless your proposal says otherwise. You pay directly for any third-party tools, seats, licenses, phone numbers, or model usage your build needs — those accounts stay in your name. Undisputed invoices more than 30 days past due may result in paused work after written notice. Prices exclude taxes, which are your responsibility where they apply.
5. Your responsibilities
- You confirm you have the right to give us access to the systems and data involved, and that the data you provide was collected lawfully.
- You are responsible for your own compliance obligations in your industry, including any consent, disclosure, or record-keeping duties.
- You will keep your own backups of any business data the automation touches.
- You will not use anything we build for an unlawful purpose. Specifically, and regardless of price, we do not build or support automated candidate screening, resume ranking, or applicant scoring, and you agree not to repurpose a build for that use.
6. Ownership
You own your data, your content, and your accounts. On full payment, you receive a perpetual, non-exclusive license to use the delivered build in your business, including the configuration and documentation we hand over.
We keep ownership of the underlying methods, templates, frameworks, libraries, and general know-how we bring to the work or develop generally, along with any improvements to them. That retained tooling is what lets us build quickly, and it is not transferred as part of a build. Nothing here stops us from doing similar work for other clients.
7. Confidentiality
Each of us will protect the other’s non-public business information, use it only for this engagement, and not disclose it to anyone who does not need it for the work. This lasts five years from disclosure, and longer for anything that qualifies as a trade secret or is protected by law. It does not cover information that is public, already known, or independently developed.
We may describe the general nature of the work publicly — for example “automated route planning for a staffing firm” — without naming you. We will ask before using your name, logo, or a specific result in marketing.
8. AI-assisted work
Our builds may use AI models to process, draft, classify, or route information. AI output can be wrong. Where a build produces something a person will act on, you are responsible for reviewing it before it is relied on, and we will design a review step into any workflow where a mistake would be costly. We do not warrant that AI output is accurate, complete, or fit for a regulated purpose.
9. Warranty and disclaimer
We warrant that we will perform in a professional and workmanlike manner, and that a delivered build will materially match its written scope. That is the only warranty we make. Otherwise the services and deliverables are provided “as is,” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee business results — revenue, leads, bookings, time saved, or any other outcome. We do not guarantee uninterrupted operation of third-party tools we do not control.
10. Limitation of liability
Neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if warned they were possible.
Our total liability for any and all claims arising out of the services is limited to the greater of $1,000 or the fees you paid us in the twelve months before the event giving rise to the claim. This limit does not apply to fraud, willful misconduct, gross negligence, or any liability that cannot be limited under Ohio law.
11. Term and termination
Either of us may end an engagement with 30 days’ written notice, or immediately if the other materially breaches and does not fix it within 30 days of written notice. On termination you pay for work performed through the end date. We will make your project files and any data we hold available for export for 30 days after termination, and will delete our working copies afterward on request, except where we must keep records.
12. Website use
The content on zulvan.com is ours and is provided for information only. It is not legal, financial, or professional advice. Do not scrape, copy, or republish it without permission, and do not attempt to interfere with the site.
13. Text messages (SMS)
Zulvan sends texts from (216) 478-5951 only to people who opt in, about appointments, projects, and replies to messages they send us. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help. Carriers are not liable for delayed or undelivered messages. Opting in to texts is never required to book a call or buy a service. How we handle your number is in our Privacy Policy.
14. Governing law
These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Cuyahoga County, Ohio, and we each consent to that venue.
15. General
If a provision is found unenforceable, the rest stays in effect. Neither of us waives a right by not enforcing it once. Neither of us may assign an engagement without the other’s consent, except in a merger or sale of substantially all assets. We are independent contractors, not partners, employees, or agents of one another. These terms plus your accepted proposal are the entire agreement on their subject.
16. Changes
We may update these terms for future engagements by posting a revised version here with a new date. Changes do not alter the terms of a proposal already accepted.
